WYN AND CO FZC. provides business consultancy, corporate advisory, formation, compliance, legal liaison, financial structuring, and other related services. Our role is strictly consultative and facilitative.

We are not a law firm, investment manager, real estate brokerage, or financial institution. Where necessary, we collaborate with licensed third-party partners to deliver certain aspects of a client's requirements.

Service commencement begins upon:

• Signature of a service agreement or formal acceptance of proposal;
• Payment of the applicable fees or deposit as stated in the proposal or invoice.

WYN AND CO FZC reserves the right to decline service if necessary documentation, payment, or compliance requirements are not met.

In the course of fulfilling your requirements, WYN AND CO FZC may engage external service providers, including but not limited to:

• Government PRO agents
• Auditors, accountants, and tax specialists
• Legal advisors and notaries
• Real estate and property consultants
• IT firms, branding specialists, and business service vendors

3.1 Client Authorization

By engaging WYN AND CO FZC, you explicitly authorize us to share your data, documents, and case details with our contracted service providers and affiliates for the sole purpose of executing your work.

3.2 Limitation of Liability for Third Parties

WYN AND CO FZC conducts thorough due diligence when selecting external collaborators. However:

• WYN AND CO FZC shall not be liable for any delays, errors, misconduct, negligence, or damages caused by any third-party provider or external firm.
• Clients agree to hold WYN AND CO FZC harmless from any liabilities, disputes, or losses arising from the acts or omissions of third-party firms.

All fees are clearly communicated via official quotations or invoices. Unless stated otherwise:

• Payments are due in advance and are non-refundable once work begins.
• Government fees, third-party charges, and out-of-scope services are billed separately.
• WYN AND CO FZC reserves the right to suspend services for late or incomplete payments.

Clients are required to:

• Provide accurate, updated, and truthful information.
• Respond promptly to documentation or verification requests.
• Review and approve drafts, forms, and submissions in a timely manner.
• Abide by all relevant UAE laws, regulations, and ethical business practices.

Failure to cooperate or provide necessary information may result in delays or suspension of services.

WYN AND CO FZC commits to protecting the confidentiality of client data, both during and after the engagement, except when disclosure is required:

• To fulfill service obligations via third-party vendors
• By UAE government or regulatory authorities
• By court order or legal obligation

Clients are also expected to keep proprietary strategies, pricing, frameworks, and documents shared by WYN AND CO FZC confidential.

All proprietary content, materials, frameworks, and branding developed by WYN AND CO FZC remain the intellectual property of WYN AND CO FZC unless otherwise agreed in writing.

Clients are granted limited, non-exclusive usage rights for deliverables applicable to their business or project.

WYN AND CO FZC provides services on a best-effort, advisory, and consultative basis.

We make no guarantees as to:

• Government or regulatory approval timelines
• Commercial success of business plans or strategies
• Legal or tax interpretations by authorities
• Market conditions affecting investment or business outcomes

Clients accept that outcomes depend on external factors beyond our control.

To the fullest extent permitted by law:

• WYN AND CO FZC shall not be liable for indirect, incidental, punitive, or consequential damages resulting from the use of our services, including but not limited to financial loss, reputational damage, or delays.
• Total liability in any matter shall be limited to the value of fees paid by the client for the specific service giving rise to the claim.

Services may be terminated:

• By either party with written notice
• By WYN AND CO FZC for breach of terms, non-cooperation, or misconduct
• Automatically upon completion of contracted services

Any unpaid fees, charges, or recoverable costs remain due upon termination.

These Terms are governed by the laws of the United Arab Emirates. Any disputes shall be resolved under the jurisdiction of the courts of the Emirate of Sharjah (or another jurisdiction as applicable based on company license).

WYN AND CO FZC reserves the right to update these Terms at any time without prior notice. Updated terms will be posted on our website and are deemed effective upon publication.
